Terms of Service

These Terms of Service ("Terms") govern your use of the ProceedGate service ("Service") operated by ProceedGate ("we", "us", or "our"). By using the Service, you agree to be bound by these Terms.
1. Service Description
ProceedGate provides an economic governance layer for AI agents, including:
- Cost control and budget enforcement APIs
- Credit-based billing system
- Proceed token gating for agent operations
- Related SDKs and documentation
2. Account Registration
To use the Service, you must:
- Provide a valid email address
- Be at least 18 years old or have legal capacity to enter into contracts
- Keep your API keys secure and confidential
- Be responsible for all activity under your account
3. Free Tier
The free tier includes 2,000 credits per month. Free tier accounts are subject to rate limits and may be suspended for abuse or excessive usage patterns.
4. Paid Plans
Paid credits can be purchased using USDC on the Base network. Credits are non-refundable once purchased. Pricing is displayed at the time of purchase and may change with notice.
5. Acceptable Use
You agree NOT to:
- Abuse the Service or attempt to bypass rate limits or controls
- Use the Service for illegal activities
- Attempt unauthorized access to our systems or other users' data
- Reverse engineer, decompile, or attempt to extract source code
- Resell or redistribute the Service without authorization
- Use the Service to harm, harass, or exploit others
6. No Competing Hosted Service
You may not use the hosted ProceedGate service, documentation, or configuration to build, offer, or operate a competing hosted service that provides substantially similar "Governor / proceed token / friction" functionality to third parties.
You ARE free to:
- Use the open-source SDKs and examples in your own applications
- Implement a local/mock governor for testing
- Self-host for internal use
7. Service Availability
We strive for high availability but do not guarantee uninterrupted service. The Service is provided on a "best effort" basis. We may:
- Perform maintenance with or without notice
- Modify or discontinue features
- Suspend accounts that violate these Terms
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein.
9. Intellectual Property
The Service, including its design, features, and documentation, is owned by ProceedGate. Open-source components are licensed under their respective licenses (typically MIT or Apache 2.0).
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCEEDGATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
Our total liability for any claims arising from the Service shall not exceed the amounts paid by you to ProceedGate in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless ProceedGate from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
13. Termination
We may terminate or suspend your account at any time for violation of these Terms. You may terminate your account by contacting us. Upon termination:
- Your access to the Service will be revoked
- Unused credits are non-refundable
- Your data may be deleted after 30 days
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
